Terms of Service
Draft v0.1 · July 2026
These Terms of Service govern access to and use of the Sonny platform. Sonny serves two categories of users: Employers, who post and staff gigs, and Workers, who offer their services through the Platform. By creating an account or using the Platform, you agree to these Terms.
1. Introduction and acceptance
These Terms of Service ("Terms") govern access to and use of the Sonny platform, operated by Sonny ("Sonny," "we," "us"; final legal entity name pending). By creating an account or using the Platform, the user agrees to these Terms. A user who does not agree must not use the Platform.
2. Definitions
- "Employer" means a company, staffing agency, or individual that posts gigs or engages Workers through the Platform.
- "Worker" means an individual or entity offering services through the Platform.
- "Gig" means a discrete unit of work posted or accepted through the Platform.
- "EOR" means an Employer of Record that may serve as the legal employer in certain engagements.
3. Eligibility and accounts
- Users must be at least 18 years old and legally able to enter contracts.
- Users must provide accurate registration information and keep it current.
- Users are responsible for account security and for activity under their account.
- Workers must complete required verification, including phone verification, before accepting gigs.
4. Employer terms
- Employers are responsible for the accuracy and legality of gig postings, including pay, duties, and site requirements.
- Employers that engage workers as employees are responsible for applicable employment obligations, including Workers' Compensation where required.
- Employers agree to use Worker information only for legitimate staffing purposes and in compliance with law.
- Employers must not use the Platform to discriminate unlawfully or to circumvent worker protections.
5. Worker terms
- Workers are responsible for accurate profiles, credentials, classification, and work authorization.
- Workers must maintain insurance appropriate to their classification, as described in the Insurance Requirements.
- Workers commit to gigs they accept and must not create conflicting bookings.
6. Fees and payments
The Platform charges fees for its services and processes payments through a third-party payment processor. Users authorize the processing of payments, deductions, and applicable fees.
7. Prohibited conduct
- Misrepresenting identity, classification, credentials, or work authorization.
- Circumventing the Platform to avoid fees after a match is made.
- Uploading unlawful, infringing, or harmful content.
- Interfering with Platform security or operations.
8. Intellectual property
The Platform, including its software, design, and content, is owned by Sonny or its licensors. Users receive a limited, revocable license to use the Platform for its intended purpose.
9. Disclaimers and limitation of liability
The Platform is provided "as is." Sonny disclaims warranties to the maximum extent permitted by law and is not responsible for the acts or omissions of Employers, Workers, or third parties.
10. Indemnification
Users agree to indemnify Sonny against claims arising from their use of the Platform, their postings or services, or their violation of these Terms.
11. Termination
Sonny may suspend or terminate accounts for violation of these Terms or conduct that creates risk. Users may close accounts subject to completing open obligations.
12. Governing law and disputes
These Terms are governed by the laws of the state to be designated in the final Terms. Dispute-resolution, arbitration, and venue provisions are pending attorney review.
13. Changes
Sonny may update these Terms and will communicate material changes through the Platform.
